Omega Announces Proposed Senior Notes omega use

Omega Healthcare Investors, today announced that it intends to offer $200 million aggregate principal amount of senior notes due 2022 (the “Notes”) in a private placement, subject to market and other conditions. In connection with the offering of the Notes, the Company will agree to file a registration omega use statement with the Securities and Exchange Commission (“SEC”) relating to an offer to exchange the Notes for publicly tradeable notes having substantially identical terms in accordance with published SEC interpretations.
The Notes will be offered and sold to qualified institutional buyers under Rule 144A of the Securities Act of 1933, as amended (the “Securities Act”), and to non-U.S. persons outside the United States under Regulation S under the Securities Act. omega use The Notes have not been registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements.
